These Terms of Service (the “Terms”) govern your access to and use of the websites, applications, interfaces, tools, services, features and related technology operated or made available by DMaple Inc. (“DMaple,” “we,” “us,” or “our”), including through dmaple.com and related DMaple applications or product interfaces (collectively, the “DMaple Platform” or the “Services”).
By accessing or using the Services, creating an account, connecting a wallet, initiating a transaction, using a business feature, purchasing or using Service Credits, or otherwise interacting with the DMaple Platform, you agree to these Terms. If you do not agree to these Terms, you must not access or use the Services.
These Terms govern your use of the DMaple Platform. DMaple applies policies, procedures and compliance controls to meet legal requirements, manage risk and support the safety and integrity of transactions.
1. Important Notices
Please read these notices carefully before using the Services.
DMaple helps users and businesses manage supported stablecoin and digital asset payment workflows with clearer payment details, fees, transaction status tracking and records. Some Services may require verification and may depend on supported routes, approved partners and compliance checks.
DMaple is not a bank. DMaple does not provide deposit accounts. DMaple does not pay interest. DMaple does not provide investment, legal, accounting, tax, securities or financial planning advice. No content on the DMaple Platform should be treated as a recommendation to buy, sell, hold, transfer, exchange or use any digital asset, stablecoin, fiat currency, payment route or third-party service.
The DMaple Platform is designed to operate on a non-custodial basis. DMaple does not custody client digital assets, hold users’ private keys, seed phrases or recovery phrases, or maintain client deposit accounts or stored-value balances. You are responsible for wallets, private keys, recovery phrases, transaction details and recipient information that you control or provide.
Certain Services may rely on approved third-party partners, supported payment routes, settlement providers, payment service providers, banking partners, digital asset service providers or other operational arrangements. These Services may be subject to verification, compliance review, partner availability, supported routes, supported jurisdictions, product limitations and regulatory requirements.
DMaple Inc. is registered as a Money Services Business with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) under registration number C100001133. FINTRAC registration does not indicate that FINTRAC endorses, sponsors, approves, recommends or licenses DMaple or the DMaple Platform.
Digital assets, stablecoins, blockchain transactions, fiat settlement, third-party payment routes and cross-border payment flows involve risks. Transactions may be delayed, rejected, restricted, reversed where possible, placed on hold or made unavailable because of compliance review, sanctions screening, wallet screening, network conditions, partner requirements, banking availability, jurisdictional restrictions or technical issues.
2. Eligibility
You may use the Services only if you can legally enter into a binding agreement and if your use of the Services is lawful in your jurisdiction.
By using the Services, you represent and warrant that:
- you are at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is higher;
- you have the legal capacity and authority to agree to these Terms;
- you are not located in, resident in, incorporated in, organized under the laws of, or acting on behalf of a person or entity located in a prohibited, sanctioned or restricted jurisdiction;
- you are not subject to sanctions, asset freeze requirements, trade restrictions, financial restrictions or similar measures imposed by Canada, the United Nations, the United States, the United Kingdom, the European Union or any other applicable sanctions authority;
- your use of the Services will comply with all applicable laws, regulations, sanctions requirements, tax obligations and these Terms;
- any information you provide to DMaple is accurate, complete, current and not misleading.
If you use the Services on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms and that the entity is duly organized, validly existing and in good standing under the laws of its jurisdiction.
DMaple may refuse, suspend, restrict or terminate access to the Services if you do not satisfy eligibility, verification, sanctions, risk, jurisdictional, partner or compliance requirements.
3. Accounts, Access and Verification Levels
To access certain Services, you may need to create an account, provide contact information, connect a wallet, complete identity verification, complete business verification, provide transaction information or satisfy other onboarding requirements.
Some limited interface or informational features may be available without full verification where legally and operationally permitted. Transaction flows, higher-risk features, business features, payout routes, fiat routes, conversion routes, external transfers, certain wallet flows, partner-supported features and other product scenarios may require KYC, KYB, sanctions screening, wallet screening, transaction monitoring, additional review or DMaple approval.
DMaple may use different access levels, product tiers, client statuses, applicable limits, verification statuses and review statuses. Availability of any feature may depend on your verification level, risk profile, location, business type, transaction type, payment route, supported jurisdiction, partner availability and applicable compliance review.
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring through your account, wallet, device, API key or authorized user profile. You must promptly notify DMaple if you suspect unauthorized access, compromise, misuse or error.
4. Services
The Services may include, where available and approved:
- non-custodial wallet connection, wallet interface and payment tools;
- supported stablecoin and digital asset payment workflows;
- payment requests, invoice-based requests and payment records;
- account transfer workflows and business payout tools;
- fiat-to-digital asset, digital asset-to-fiat, digital asset-to-digital asset, settlement or payout routes through approved partners or approved processing flows;
- transaction status tracking, fees display, payment details, reporting and accounting-ready records;
- business tools for reconciliation, records, invoices, payment management and related operational workflows;
- service Credits or other platform features, if available;
- other tools, features or services that DMaple may make available from time to time.
Not all Services are available to all users, businesses, jurisdictions, wallets, assets, currencies, banks, payout accounts or payment routes. DMaple may add, modify, restrict, suspend or discontinue any Service, feature, route, asset, currency, wallet flow or partner integration.
DMaple does not guarantee that any particular transaction, route, asset, currency, payout method, settlement method, wallet, bank account, recipient, beneficiary or third-party service will be supported or available.
5. Non-Custodial Model and Wallet Responsibility
The DMaple Platform is designed to operate on a non-custodial basis. DMaple does not custody client digital assets on behalf of users, hold users’ private keys, seed phrases or recovery phrases, or maintain client deposit accounts or stored-value balances.
In a non-custodial flow, you control your digital assets through a wallet that you own or control. You are solely responsible for the security, availability and proper use of that wallet.
You are solely responsible for:
- protecting your private keys, seed phrases, recovery phrases, passwords, devices and wallet credentials;
- creating backups and maintaining secure access to any wallet you use with the Services;· ensuring the accuracy of wallet addresses, blockchain networks, tokens, recipient details, transaction amounts and payment instructions;
- maintaining sufficient funds, gas, network assets or other balances required to initiate or complete a transaction;
- understanding the risks associated with using a wallet, blockchain network, stablecoin, digital asset, third-party service, payment route or settlement partner.
If you lose access to your wallet, private key, seed phrase, recovery phrase, device, password or other credentials, DMaple may not be able to restore access or recover digital assets. Blockchain transactions may be irreversible. Incorrect wallet addresses, blockchain networks, tokens, amounts, recipient details or payment instructions may result in transaction delays, rejection of the transaction or permanent loss of digital assets.
Certain Services may be provided through approved third-party partners, supported payment routes, banking or settlement channels, blockchain infrastructure, liquidity providers, payout providers or other operational mechanisms. Such Services may depend on customer verification, recipient verification, compliance review, sanctions screening, Travel Rule requirements, partner availability, supported jurisdictions, technical network availability and other operational or regulatory requirements.
The use of partner infrastructure, supported settlement routes or technical transaction-processing mechanisms does not mean that DMaple becomes a custodian of client assets unless DMaple actually assumes control over private keys, client digital assets, deposit accounts or stored-value balances. Any operations through such routes remain subject to applicable terms, DMaple’s controls, partner requirements, compliance checks and applicable law.
6. Supported Assets, Routes and Jurisdictions
DMaple may support selected fiat currencies, stablecoins, digital assets, wallet types, payment routes, settlement routes, payout methods, bank account types and jurisdictions from time to time. Supported items may change. Where reasonably possible and legally permitted, DMaple will provide notice of material changes.
Supported digital assets may include asset-backed or regulated stablecoins such as USDT, USDC and similar supported assets, where available. Support for any asset does not mean that DMaple endorses the asset, guarantees its value, guarantees its redeemability or recommends its use.
The Services are available only through supported routes and in supported jurisdictions. DMaple may prioritize Canadian clients, Canadian corporate entities and Canada-focused transaction flows. Other jurisdictions, counterparties, bank accounts, payout partners, payment routes or cross-border flows may be supported only after applicable review and DMaple approval.
DMaple does not serve or process transactions involving jurisdictions, persons, entities, wallets, bank accounts, counterparties, beneficiaries, payment routes or transaction paths that are subject to applicable sanctions, restrictions, partner requirements or DMaple’s risk-based controls.
DMaple may also restrict access from certain IP addresses, devices, wallet addresses, bank accounts, counterparties, beneficiaries, industries, business models or transaction patterns.
7. KYC, KYB, AML/ATF and Compliance Controls
DMaple may require customer identification, business verification, beneficial ownership information, director and officer information, address information, source of funds information, source of wealth information, transaction purpose, wallet information, beneficiary information, recipient information, payer information, payee information, supporting documents and any other information reasonably required for legal, regulatory, risk, partner or compliance purposes.
DMaple may conduct identity, business, sanctions, wallet, transaction and risk-related checks where required by law, partner requirements or DMaple’s risk-based controls. These checks may include KYC, KYB, sanctions screening, wallet screening, transaction monitoring, source of funds review, Travel Rule checks and enhanced due diligence where applicable.
DMaple may use third-party service providers to perform verification, screening, blockchain analytics, risk assessment, fraud prevention, data processing, payment routing, settlement, compliance checks and related services.
You agree to provide complete, accurate and current information when requested. DMaple may delay, restrict, reject, cancel, suspend or decline any account, feature, transaction, payout, route, wallet flow or Service if information is missing, incomplete, inaccurate, inconsistent, outdated, suspicious, unverifiable or otherwise unacceptable.
DMaple may maintain records and submit reports to competent authorities where required by applicable law. DMaple may also retain records of refused, restricted, rejected, attempted, incomplete, suspicious or otherwise reportable transactions where required or appropriate.
8. Sanctions, Restricted Parties and Prohibited Jurisdictions
You must not use the Services in violation of sanctions, export controls, trade restrictions, anti-money laundering laws, anti-terrorist financing laws, anti-bribery laws, anti-corruption laws, tax laws, securities laws, consumer protection laws, data protection laws or any other applicable laws.
You must not access or use the Services if you are, or are acting on behalf of:
- a listed, sanctioned, blocked, restricted or designated person or entity;
- a person or entity located in, resident in, incorporated in, operating from or organized under the laws of a prohibited, sanctioned or restricted jurisdiction;
- a person or entity owned or controlled by, or acting for the benefit of, a sanctioned person or entity;
- a person or entity using a wallet, bank account, payment route, IP address, device, transaction path or counterparty associated with sanctions, evasion, illicit finance or prohibited activity.
DMaple may screen you, your business, beneficial owners, directors, officers, authorized users, wallets, counterparties, recipients, beneficiaries, bank accounts, payment routes and transaction paths against sanctions and other risk sources. DMaple may block, reject, restrict, freeze where required, report or otherwise handle activity in accordance with applicable sanctions laws, DMaple procedures and partner requirements.
9. Third-Party Determination, Recipients and Beneficiaries
DMaple may ask whether you are acting for yourself or on behalf of another person or entity. DMaple may request information about any third party, sender, recipient, beneficiary, payer, payee, source of funds, payment purpose, invoice relationship, business relationship or transaction purpose.
You must not use the Services to conceal the identity of the true sender, recipient, beneficiary, payer, payee, owner, controller, source of funds or purpose of a transaction.
Payouts and withdrawals may be limited to your own verified bank account, your own supported payout account, or another approved payout route. Third-party payouts are not supported unless DMaple expressly approves them for the relevant Service and route.
Recipients may be able to receive payments through supported routes without creating a DMaple account in certain scenarios. However, recipient details, beneficiary information, verification, screening, partner requirements or compliance review may be required depending on the transaction type, amount, jurisdiction, payout route, wallet, bank account, risk indicators and applicable law.
DMaple may delay, reject or restrict a transaction where third-party involvement cannot be reasonably determined, documented or approved.
10. Travel Rule and Transfer Information
For applicable virtual currency transfers, electronic funds transfers, payment flows, invoice-based requests or account transfer scenarios, DMaple may be required to collect, verify, retain, transmit, receive or request information about the sender, originator, recipient, beneficiary, payer, payee, wallet address, bank account, transaction purpose or related parties.
You agree to provide any information DMaple reasonably requests for Travel Rule, recordkeeping, reporting, partner, sanctions or compliance purposes.
A transaction may be delayed, rejected, restricted, cancelled or escalated if required information is missing, incomplete, inconsistent, suspicious, unverifiable, unavailable through approved channels or otherwise not reasonably obtainable.
11. Transaction Processing, Holds and Settlement Timing
DMaple does not guarantee instant, same-day or uninterrupted transaction processing, settlement, payout, conversion, withdrawal, transfer, payment confirmation or access to any feature.
Transaction timing may depend on blockchain network conditions, gas fees, liquidity, banking hours, payment systems, partner processing, payout rails, compliance review, transaction monitoring, wallet screening, sanctions screening, Travel Rule checks, DMaple review, jurisdictional restrictions, technical issues and other factors beyond DMaple’s control.
DMaple may delay, place on hold, restrict, reject, cancel, reverse where possible, or decline to process any transaction, payout, conversion, payment request, wallet flow, account transfer, Service Credit activity or other Service where DMaple determines that such action is required or appropriate for legal, regulatory, risk, compliance, sanctions, partner, fraud prevention, security, operational or technical reasons.
You are responsible for reviewing all transaction details before submission. You must ensure that amounts, assets, networks, wallet addresses, account details, recipient details, invoice details and payment instructions are accurate. DMaple is not responsible for losses caused by incorrect information submitted by you or by a third party acting under your authority.
12. Third-Party Services, Partners and External Providers
The Services may integrate with, depend on or route through third-party service providers, including identity verification providers, blockchain analytics providers, wallet infrastructure providers, payment service providers, fiat partners, banking partners, settlement providers, liquidity providers, on-ramp or off-ramp providers, tax or accounting integrations, data processors and other external providers.
Third-party services may be subject to separate terms, fees, privacy policies, risk disclosures, eligibility requirements, verification requirements, supported jurisdictions and operational limitations. You are responsible for reviewing and complying with any applicable third-party terms.
DMaple does not control all third-party services, blockchain networks, banking systems, payment rails, digital asset issuers, liquidity providers, validators, miners, wallet providers or external infrastructure. DMaple is not responsible for third-party failures, delays, fees, restrictions, outages, rejection decisions, settlement issues, data inaccuracies, custody arrangements, insolvency, security incidents or other acts or omissions of third parties.
DMaple may add, remove, suspend, replace or restrict any third-party provider or partner route.
13. Fees, Network Fees and Charges
DMaple may charge platform fees, subscription fees, service fees, transaction-related fees, conversion fees, payout fees, business feature fees, Service Credit-related fees or other applicable fees. Fees may vary depending on the Service, asset, currency, payment route, payout route, transaction amount, jurisdiction, partner, user type, business type, account tier or product feature.
You may also be responsible for blockchain network fees, gas fees, validator or miner fees, partner fees, banking fees, payout provider fees, third-party service fees, card fees, foreign exchange fees, liquidity provider fees, refund fees, reversal fees and other charges imposed by third parties.
Applicable fees will be disclosed before or at the time of use where required. Fees may be deducted from transaction amounts, charged separately, paid through Service Credits, paid by invoice, charged to a payment method or collected through another approved method depending on the Service.
Fees are non-refundable except as expressly stated in these Terms, a separate fee schedule, an approved refund policy, applicable law or a written agreement with DMaple.
14. Service Credits
DMaple may allow clients to purchase or receive platform credits (“Service Credits”) for use within the DMaple Platform.
Unless expressly stated otherwise in a separate approved policy or written agreement, Service Credits:
- are platform credits used only as prepayment for eligible DMaple platform services;
- are not deposits;
- are not bank balances;
- are not stored-value balances;
- are not digital assets;
- are not fiat currency;
- are not client funds held for transfer to third parties;
- do not create a deposit account, payment account or custodial account;
- cannot be transferred to another user;
- cannot be used to pay external recipients, beneficiaries, merchants, payees or third parties;
- cannot be redeemed for cash or digital assets except as expressly permitted under an approved refund policy;
- cannot be used to avoid KYC, KYB, transaction limits, sanctions controls, monitoring, reporting or other compliance requirements.
DMaple may record purchases, use, refunds, adjustments and expiry of Service Credits. DMaple may restrict, suspend, reverse, cancel or refuse Service Credit activity where DMaple identifies misuse, abuse, fraud, suspicious activity, sanctions concerns, chargebacks, refund abuse, error, technical issue or compliance risk.
Service Credits may expire, be limited to certain Services, be unavailable in certain jurisdictions, be subject to minimum or maximum purchase amounts, or be subject to additional terms.
15. Promotions, Rewards and Incentives
DMaple may offer promotions, credits, incentives, rewards, discounts, referral benefits or similar programs from time to time under separate terms.
Any promotion, reward or incentive program is subject to compliance, legal, product, tax, accounting, partner and risk review. DMaple may modify, suspend, withdraw, cancel, restrict or deny any promotion, reward or incentive at any time, including where fraud, abuse, manipulation, duplicate accounts, suspicious activity, sanctions concerns, technical error or compliance risk is suspected.
No promotion, reward or incentive creates a deposit, stored-value balance, investment product, entitlement to future value, guarantee of redemption, or right to receive cash or digital assets unless expressly stated in separate approved terms.
16. Taxes
You are solely responsible for determining, reporting, withholding, collecting and paying any taxes, duties, levies or assessments arising from your use of the Services, including any tax consequences of digital asset transactions, stablecoin transactions, fiat transactions, conversions, payouts, Service Credits, promotions, rewards or business payments.
DMaple does not provide tax advice. Information provided through the Services, including records, reports, exports or transaction summaries, is provided for convenience only and may not be complete or sufficient for tax reporting. You should consult a qualified tax professional regarding your obligations.
17. Prohibited Uses
You must not use the Services, directly or indirectly, to engage in, facilitate, support, conceal or attempt any prohibited activity, including:
- money laundering, terrorist financing, sanctions evasion, fraud, scams, market manipulation, tax evasion or other unlawful activity;
- ransomware, extortion, hacking, malware, phishing, identity theft, credential theft, cybercrime or unauthorized access;
- illegal gambling, betting, lottery, gaming, casino or wagering activity;
- unlicensed money services business activity, unlicensed exchange activity, unlicensed remittance activity, unlicensed investment activity or other regulated activity without required authorization;
- transactions involving darknet markets, mixers, tumblers, privacy-enhancing services designed to conceal transaction origin, illicit tokens or high-risk wallet exposure;
- transactions involving prohibited goods or services, including illegal drugs, weapons, human trafficking, child exploitation, counterfeit goods, stolen goods or other illegal markets;
- high-risk offshore investment schemes, fraudulent investment programs, Ponzi schemes, pyramid schemes or deceptive financial products;
- activity involving NFT marketplaces, high-risk digital asset projects or other unsupported business models where DMaple has restricted or not approved such activity;
- attempts to bypass KYC, KYB, sanctions controls, wallet screening, transaction monitoring, Travel Rule requirements, applicable limits, product tiers or partner restrictions;
- use of false, misleading, incomplete or stolen information;
- use of another person’s account, wallet, identity, bank account or payment method without authorization;
- activity that harms, disrupts, overloads, damages, reverse engineers, attacks, tests, scrapes or interferes with the Services or related infrastructure;
- activity that infringes DMaple’s or another person’s intellectual property, privacy, data protection, contractual or other rights.
DMaple may determine prohibited use in its sole discretion, acting reasonably and in accordance with applicable law, DMaple procedures and partner requirements.
18. Records, Reporting and Audit Cooperation
DMaple may create and retain records relating to accounts, onboarding, KYC, KYB, beneficial ownership, wallet screening, transaction monitoring, payment activity, Service Credits, fees, compliance reviews, third-party determination, Travel Rule checks, restrictions, refusals, investigations, communications, complaints and other matters.
You agree to cooperate with reasonable requests for information, documentation, clarification or verification. Failure to cooperate may result in delays, holds, restrictions, rejection, suspension or termination.
DMaple may disclose information to regulators, law enforcement, competent authorities, partners, service providers, auditors, legal counsel or other parties where required or permitted by law, where necessary to operate the Services, where required by partner controls, or where necessary to protect DMaple, users, the public or the integrity of the Services.
19. Privacy and Data Protection
DMaple collects, uses, stores, shares and protects personal information in accordance with its Privacy Policy and applicable privacy laws. By using the Services, you acknowledge that DMaple may process personal information for account creation, identity verification, business verification, compliance checks, sanctions screening, transaction monitoring, fraud prevention, customer support, product operations, legal compliance, reporting, recordkeeping, analytics and other purposes described in the Privacy Policy.
DMaple may share information with service providers, partners, regulators, law enforcement, auditors, legal counsel or other parties as described in these Terms and the Privacy Policy.
You must ensure that any personal information you provide about another person, including a recipient, beneficiary, payer, payee, beneficial owner, director, officer, employee, authorized user or representative, is provided lawfully and with any required notice or consent.
20. Communications and Notices
You agree that DMaple may communicate with you electronically, including through email, platform notifications, website notices, account messages or other electronic methods. Electronic communications satisfy any legal requirement that a communication be in writing, to the maximum extent permitted by law.
You are responsible for keeping your contact information accurate and current. DMaple is not responsible for your failure to receive notices because your contact information is outdated, inaccurate or inaccessible.
21. Intellectual Property
The DMaple Platform, Services, software, interfaces, design, text, graphics, logos, icons, trademarks, service marks, content, documentation, data structure, workflows and related materials are owned by DMaple or its licensors and are protected by intellectual property and other laws.
Subject to your compliance with these Terms, DMaple grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or business purposes.
You must not copy, modify, adapt, translate, reproduce, distribute, sell, license, lease, sublicense, reverse engineer, decompile, disassemble, scrape, extract, benchmark, commercially exploit or create derivative works from the Services except as expressly permitted by DMaple in writing or by applicable law.
DMaple reserves all rights not expressly granted in these Terms.
22. Feedback
If you provide ideas, comments, suggestions, proposals, improvements or other feedback about the Services (“Feedback”), you grant DMaple a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable right to use, copy, modify, distribute, commercialize and otherwise exploit the Feedback without restriction or compensation to you.
Feedback is not confidential and does not create any obligation for DMaple.
23. Open Source and Third-Party Software
The Services may include or interact with open-source software, third-party software, APIs, blockchain protocols, wallet tools, data providers or other external technology. Such components may be subject to separate licenses, terms or restrictions.
Nothing in these Terms grants you rights to open-source or third-party technology except as provided under applicable separate licenses or terms.
24. Risk Disclosure
You acknowledge and accept the risks associated with digital assets, stablecoins, blockchain networks, wallet management, fiat settlement, payment routes, partner infrastructure and use of the Services. These risks include, without limitation:
- loss of private keys, credentials or recovery phrases;
- irreversible transactions;
- incorrect wallet addresses, networks, assets, amounts or recipient information;
- blockchain congestion, reorganization, forks, downtime, errors or increased gas fees;
- stablecoin depeg, issuer failure, reserve risk, liquidity risk, redemption risk or regulatory action;
- exchange rate changes, price volatility and market disruption;
- partner failure, bank failure, payout delay, rejection, reversal, chargeback or settlement issue;
- cyberattacks, phishing, malware, unauthorized access and device compromise;
- sanctions, legal, tax, regulatory or reporting consequences;
- compliance holds, rejections, restrictions, additional review or account suspension.
DMaple does not guarantee that any digital asset will maintain value, remain available, remain supported, be redeemable, be liquid, or be accepted by any third party.
25. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, DMaple disclaims all warranties, representations and conditions, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, uninterrupted operation, security, error-free performance and absence of harmful components.
DMaple does not warrant that the Services will meet your requirements, be available in your jurisdiction, support any particular transaction, route, asset, wallet, bank account, payout method, recipient or partner, or operate without delay, interruption, error, restriction or loss.
26. Limitation of Liability
To the maximum extent permitted by applicable law, DMaple and its affiliates, directors, officers, employees, contractors, agents, representatives, service providers and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, punitive or enhanced damages, loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, loss of digital assets, loss of funds, business interruption, reputational harm or other intangible losses arising out of or relating to the Services, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, DMaple’s total aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of: (a) CAD $100; or (b) the fees you paid directly to DMaple for the specific paid Service giving rise to the claim during the three (3) months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations or exclusions of liability. In such jurisdictions, DMaple’s liability will be limited to the maximum extent permitted by law.
27. Indemnity
To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless DMaple, its affiliates, directors, officers, employees, contractors, agents, representatives, service providers and licensors from and against any claims, losses, damages, liabilities, penalties, fines, costs and expenses, including reasonable legal fees, arising out of or relating to:
- your access to or use of the Services;
- your violation of these Terms;
- your violation of applicable law;
- your violation of sanctions, AML/ATF, Travel Rule, tax, privacy or regulatory requirements;
- information, documents or instructions you provide;
- transactions, wallets, accounts, recipients, beneficiaries, payers, payees, payment routes or business relationships involving you;
- your use of third-party services;
- your infringement or misappropriation of any rights of DMaple or any third party;
- fraud, misuse, unauthorized activity or prohibited activity involving your account, wallet, credentials, device or authorized users.
28. Suspension, Restriction and Termination
DMaple may suspend, restrict, limit, disable, terminate or refuse your access to any account, feature, transaction, route, payout, wallet flow, Service Credit activity or Service where DMaple determines that such action is required or appropriate for legal, regulatory, sanctions, compliance, partner, risk, fraud prevention, security, technical, operational or business reasons.
DMaple may take action without prior notice where required or appropriate. DMaple may not be able to disclose the reason for a restriction, hold, rejection, report, investigation or termination where disclosure would be restricted by law, create security or compliance risk, interfere with an investigation, or conflict with partner requirements.
Upon termination, your right to use the Services ends immediately. Provisions that by their nature should survive termination will survive, including provisions relating to compliance, records, fees, taxes, intellectual property, risk, warranties, limitation of liability, indemnity, governing law, dispute resolution and notices.
29. Changes to the Services and Terms
DMaple may modify, update, restrict, suspend or discontinue any part of the Services.
DMaple may update these Terms from time to time. Updated Terms will be posted on the DMaple website or otherwise made available through the Services. Unless otherwise stated, updates become effective when posted. Your continued access to or use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.
If you do not agree to updated Terms, you must stop using the Services.
30. Discontinuation of Services
DMaple may discontinue or restrict any Service, feature, supported asset, supported currency, payment route, payout route, partner integration or jurisdictional availability. Where reasonably possible and legally permitted, DMaple will provide notice of material changes.
Because DMaple operates under a non-custodial model, you are responsible for maintaining independent access to your wallet, private keys, recovery phrases and records. DMaple is not responsible for losses arising from your failure to maintain independent access or backups.
31. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or relating to these Terms or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
To the maximum extent permitted by applicable law, you and DMaple agree that any dispute must be brought on an individual basis only and not as a plaintiff or class member in any class, collective, consolidated, representative or similar proceeding. You waive any right to participate in a class, collective, consolidated or representative action to the maximum extent permitted by law.
Except where prohibited by applicable law, any dispute, controversy or claim arising out of or relating to these Terms or the Services, including questions regarding existence, validity, interpretation, breach or termination, will be finally resolved by binding arbitration administered by ADR Chambers under its applicable arbitration rules.
The seat of arbitration will be Toronto, Ontario, Canada. The arbitration will be conducted by one arbitrator. The language of arbitration will be English. Judgment on the arbitral award may be entered in any court of competent jurisdiction.
Any claim or cause of action arising out of or relating to the Services must be filed within one (1) year after the claim or cause of action arose, unless a longer period is required by applicable law. If not filed within that period, the claim is permanently barred to the maximum extent permitted by law.
32. Force Majeure
DMaple will not be liable for delay, failure, interruption, restriction, suspension or inability to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, sanctions, embargoes, changes in law, regulatory action, blockchain network disruption, protocol changes, smart contract issues, cyberattacks, internet outages, telecommunications failures, power failures, banking disruption, payment rail disruption, partner failure, liquidity disruption, market disruption, emergency measures or other events beyond DMaple’s reasonable control.
33. Assignment
You may not assign or transfer your rights or obligations under these Terms without DMaple’s prior written consent. DMaple may assign, transfer, delegate or subcontract any rights or obligations under these Terms without your consent, including in connection with a merger, acquisition, financing, corporate reorganization, sale of assets or transfer of business operations.
34. Severability
If any provision of these Terms is determined to be invalid, illegal or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, legal and enforceable. If modification is not possible, the provision will be severed, and the remaining provisions will remain in full force and effect.
35. No Waiver
DMaple’s failure or delay in exercising any right, power or remedy under these Terms does not operate as a waiver. Any waiver must be in writing and signed by an authorized representative of DMaple.
36. Entire Agreement
These Terms, together with any policies, disclosures, product terms, fee schedules, Service Credit terms, risk disclosures, privacy terms or other documents incorporated by reference, constitute the entire agreement between you and DMaple regarding the Services and supersede all prior or contemporaneous agreements, understandings or communications regarding the Services.
37. Language
These Terms may be made available in languages other than English for convenience. In the event of conflict or inconsistency, the English version will prevail to the maximum extent permitted by applicable law.
