DMaple Fee Disclosure & Service Credits Terms

1. Purpose and Scope

These Fee Disclosure & Service Credits Terms (the “Fee Terms”) are provided by DMaple Inc. (“DMaple,” “we,” “us,” or “our”) to explain how fees, charges, third-party costs and Service Credits may apply when using DMaple websites, applications, product interfaces, tools and related services (the “Services”).

These Fee Terms are written for public disclosure. They are not an exhaustive fee schedule and do not describe confidential pricing, partner arrangements, internal risk controls, internal approval processes or operational procedures.

Actual fees, charges, Service Credit rules or product-specific pricing may be displayed in the DMaple Platform, in a quote, transaction screen, invoice, order form, fee schedule, subscription plan or written agreement. These Fee Terms should be read together with the Terms of Service, Risk Disclosure Statement, Non-Custodial Statement, AML, KYC/KYB & Compliance Statement, Privacy Policy and any product-specific terms that apply.

2. Key Points

- DMaple may charge platform fees, subscription fees, service fees, transaction-related fees, conversion fees, payout fees, business feature fees, Service Credit-related fees or other applicable fees.

- Third-party fees may also apply, including blockchain network fees, gas fees, partner fees, banking fees, payout fees, card fees, foreign exchange fees, liquidity provider fees, refund fees, reversal fees or other charges imposed by third parties.

- Fees, displayed amounts, exchange rates and estimated settlement times may vary depending on the Service, route, asset, currency, jurisdiction, user type, business type, partner, account tier, transaction amount and product feature.

- Service Credits are internal platform credits used only for eligible DMaple Services. They are not deposits, bank balances, stored-value balances, digital assets, fiat currency, e-money, securities or client funds held for transfer to third parties.

- Service Credits cannot be used to avoid KYC, KYB, sanctions screening, transaction monitoring, Travel Rule-related checks, reporting obligations or other compliance requirements.

- DMaple may restrict, suspend, reverse where possible, cancel, refuse, decline or adjust fee-related activity or Service Credit activity where required or appropriate for legal, compliance, sanctions, fraud prevention, risk, partner, technical, operational or security reasons.

3. DMaple Fees

DMaple may charge fees for access to, or use of, certain Services and product features. These fees may include platform fees, subscription fees, service fees, transaction-related fees, conversion fees, payout fees, business feature fees, implementation fees, support fees, reporting or accounting feature fees, Service Credit-related fees or other applicable fees.

Fees may vary depending on the Service, asset, currency, payment route, payout route, transaction amount, jurisdiction, partner, user type, business type, account tier, product feature, volume, commercial arrangement or written agreement.

Unless a fee is expressly stated as fixed for a particular Service, subscription plan, quote, invoice, order form or written agreement, DMaple may update, introduce, remove or modify fees from time to time.

4. Third-Party and Network Fees

In addition to DMaple fees, users may be responsible for third-party fees or charges imposed by blockchain networks, validators, miners, gas markets, payment providers, payout providers, banking partners, card providers, liquidity providers, foreign exchange providers, wallet providers, intermediaries, recipients or other service providers.

DMaple does not control all third-party fees, network fees, gas fees, partner fees, banking fees, payout fees, card fees, liquidity fees, foreign exchange costs, refund fees, reversal fees or recipient-side deductions.

Third-party fees may be charged separately, deducted from the transaction amount, included in a displayed quote, reflected in an exchange rate or collected by a third-party provider under its own terms.

5. Fee Display, Estimates and Changes

Applicable fees will be disclosed before or at the time of use where required and where reasonably available through the relevant Service, product interface, transaction screen, quote, invoice, order form, fee schedule or written agreement.

Displayed amounts, exchange rates, fee estimates, network fee estimates, partner fee estimates, tax estimates, settlement times and transaction statuses may be estimates only. They may change before a transaction, payout, conversion, invoice payment, account transfer, Service Credit activity or other Service is completed.

By submitting a transaction request, confirming a quote, purchasing Service Credits, selecting a paid feature, accepting an invoice or otherwise using a paid Service, you agree to the applicable fees and charges shown or otherwise made available for that Service.

6. How Fees May Be Charged

Fees may be deducted from transaction amounts, charged separately, paid through Service Credits, paid by invoice, charged to an approved payment method, included in a subscription plan or collected through another approved method depending on the Service.

For business accounts, fees may also be set out in commercial terms, account-specific pricing, order forms, invoices, statements, product schedules or written agreements.

DMaple may require prepayment, Service Credit purchase, invoice payment, payment method authorization or other approved payment arrangement before making certain paid Services available.

7. Refunds, Reversals and Failed or Rejected Transactions

Fees are non-refundable except as expressly stated in the Terms of Service, these Fee Terms, a separate fee schedule, an approved refund policy, applicable law or a written agreement with DMaple.

Network fees, gas fees, validator or miner fees, banking fees, partner fees, payout fees, card fees, foreign exchange costs, liquidity provider fees, intermediary fees, recipient-side deductions and other third-party charges may be non-refundable even if a transaction is delayed, rejected, cancelled, reversed where possible, declined, suspended or fails to complete.

Where a refund is approved, DMaple may provide the refund to the original payment method, as Service Credits, by invoice adjustment, account adjustment or another method permitted by DMaple and applicable law.

Refunds, reversals, chargebacks, rejected transactions, duplicate payments, failed transactions and disputed charges may be subject to additional review, additional documentation, fees, delays, limitations or restrictions.

8. Service Credits

DMaple may allow users or business clients to purchase, receive or use platform credits (“Service Credits”) within the DMaple Platform. Service Credits are used only for eligible DMaple Services, eligible product features or other eligible platform uses expressly permitted by DMaple.

Unless expressly stated otherwise in an approved policy, product term or written agreement, Service Credits are platform credits used only as prepayment for eligible DMaple platform services.

Service Credits do not create a deposit account, bank account, payment account, stored-value account, custodial account, securities account or digital asset account. Service Credits do not earn interest, do not represent digital assets or fiat currency and are not insured deposits.

Service Credits cannot be transferred to another user, cannot be used to pay external recipients, beneficiaries, merchants, payees or third parties, and cannot be redeemed for cash or digital assets except as expressly permitted under an approved refund policy, product term, written agreement or applicable law.

9. Service Credit Records, Expiry, Limits and Adjustments

DMaple may record purchases, use, refunds, adjustments, promotional grants, cancellations and expiry of Service Credits.

Service Credits may expire, be limited to certain Services, be unavailable in certain jurisdictions, be limited to certain account types, be subject to minimum or maximum purchase amounts, be subject to additional terms or be unavailable where required by law, partner requirements, product limitations or compliance review.

DMaple may correct errors, reverse accidental credits, adjust balances, cancel unused credits, suspend Service Credit use, refuse Service Credit purchases or discontinue Service Credits where required or appropriate for legal, compliance, sanctions, fraud prevention, chargeback, refund abuse, risk, technical, operational, security or business reasons.

Promotional credits, referral credits, rewards, discounts, incentives or trial credits may be subject to separate terms, limitations, eligibility requirements, expiry dates, non-transferability rules and refund restrictions.

10. Compliance, Risk and Account Controls

Fees, paid Services, Service Credit purchases, Service Credit use, refunds, reversals, chargebacks and adjustments may be subject to KYC, KYB, sanctions screening, wallet screening, transaction monitoring, Travel Rule-related checks, fraud prevention, payment review, route review, partner review and other compliance or risk controls.

DMaple may delay, place on hold, restrict, reject, cancel, reverse where possible, decline, suspend or refuse any Service, transaction request, payout, conversion, account transfer, Service Credit activity, refund, reversal or fee-related activity where DMaple determines that such action is required or appropriate for legal, regulatory, sanctions, compliance, partner, fraud prevention, security, technical, operational or risk reasons.

DMaple may require additional information, documents, confirmations or approvals before completing a transaction, processing a refund, enabling a paid feature, applying Service Credits or making a route available.

11. Taxes

Fees, subscriptions, Service Credits, promotions, rewards, discounts, transactions, payouts, conversions or other Services may be subject to taxes, duties, levies, assessments, withholding or reporting obligations depending on the jurisdiction and the nature of the Service.

Unless expressly stated otherwise, fees may be exclusive of applicable taxes. DMaple may collect, add, withhold, report or remit taxes where required or permitted by law.

You are responsible for determining, reporting, withholding, collecting and paying any taxes that apply to your use of the Services, including any tax consequences of digital asset transactions, stablecoin transactions, fiat transactions, conversions, payouts, Service Credits, promotions, rewards or business payments.

12. Relationship to Other Documents

These Fee Terms supplement, and do not replace, the Terms of Service, Risk Disclosure Statement, Non-Custodial Statement, AML, KYC/KYB & Compliance Statement, Privacy Policy, Cookie Policy and any product-specific terms, fee schedules, subscription plans, invoices, order forms or written agreements that may apply.

If there is a conflict between these Fee Terms and the Terms of Service, the Terms of Service will govern to the extent of the conflict, unless applicable law requires otherwise. If a written agreement with DMaple expressly sets out different commercial terms for a specific client or Service, that written agreement may govern for that client or Service.

Nothing in these Fee Terms limits any rights or obligations that cannot be limited under applicable law.

13. Changes to These Fee Terms

DMaple may update these Fee Terms from time to time to reflect changes in Services, fees, Service Credits, supported routes, third-party costs, product features, partner arrangements, legal requirements, regulatory expectations or business practices.

The updated version will be posted on the DMaple website or made available through the Services. The effective date will indicate when the latest version applies.
